Job Summary:

We are seeking a highly skilled and experienced Company Secretary to join our team. The ideal candidate will have extensive experience in fund raising, compliance management, lending documentation, legal agreements and facilitating board activities. The Company Secretary will play a crucial role in ensuring the company’s compliance with statutory and regulatory requirements while also providing strategic guidance and support to the board of directors.

Responsibilities:

  • Coordinate and facilitate fundraising activities, including equity financing, debt financing and other capital raising initiatives.
  • Ensure compliance with all regulatory requirements, including but not limited to company law, securities regulations and other relevant legislation.
  • Draft and review legal agreements, including loan agreements, investment agreements and other contractual documents.
  • Manage and maintain all corporate records, including minutes of meetings, resolutions and statutory filings.
  • Provide support and guidance to the board of directors on corporate governance matters, including board composition, structure and best practices.
  • Organize and facilitate board meetings, including preparing agendas, coordinating presentations and drafting minutes.
  • Serve as a liaison between the company and regulatory authorities, shareholders and other stakeholders.
  • Stay up-to-date on changes in relevant laws and regulations and advise the company on compliance requirements and potential impacts.
  • Assist in the development and implementation of corporate policies and procedures.
  • Handle any other company secretarial and legal matters as required.

Requirements:

  • Bachelor’s degree in law and a professional qualification as a Company Secretary is highly preferred.
  • Proven experience working as a Company Secretary preferably in a corporate environment.
  • Strong understanding of corporate governance principles and practices.
  • Extensive knowledge of relevant laws, regulations and compliance requirements.
  • Demonstrated experience in fundraising, lending documentation and drafting legal agreements.
  • Excellent communication and interpersonal skills with the ability to interact effectively with senior management, board members and external stakeholders.
  • Exceptional organizational skills and attention to detail.
  • Ability to work independently and manage multiple priorities in a fast-paced environment.
  • Proficiency in Microsoft Office suite and other relevant software applications.
  • High level of integrity and professionalism.
